End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you and Kleiderer Studios, LLC ("Company," "we," "us," or "our") and governs your installation and use of our software and accompanying documentation (collectively, the "Software"). This EULA supplements, and is incorporated into, our Terms of Service ("Terms"). Capitalized terms used but not defined in this EULA have the meanings given in the Terms.

1. Acceptance

You agree to be bound by this EULA, and you represent and warrant that you have the legal capacity and authority to do so, by any of the following actions, each of which independently constitutes your acceptance of this EULA:

  • downloading, installing, copying, or running the Software;
  • claiming, redeeming, activating, or otherwise using a License;
  • installing or running an update, upgrade, or new version of the Software;
  • continuing to use the Software after any update to the Software or this EULA;
  • clicking "I agree," "Accept," or a similar control where presented; or
  • otherwise indicating your assent through the Services or the Software.

If you do not agree to this EULA, you must not download, install, or use the Software, and you must promptly uninstall and delete any copy in your possession or control.

2. Definitions

  • "License" means the right to install and use the Software granted under this EULA, subject to the License-Specific Terms applicable to your Order.
  • "License-Specific Terms" means the product-, plan-, or tier-specific terms presented to you in connection with your Order, including on the applicable product or pricing pages of our website. License-Specific Terms describe the scope, term, fees (if any), and other parameters of your License.
  • "Order" means your acquisition of a License through the Services, whether by purchase, free registration, or other means we make available, together with the product description, pricing, and License-Specific Terms presented to you at that time.

3. License Grant

Subject to your compliance with this EULA, the Terms, your Order, and the applicable License-Specific Terms, we grant you a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your internal business or personal use.

The scope and parameters of your License — including its term (perpetual or time-limited), permitted users or installations, device or machine activation rules, features and functional limits, online-validation or connectivity requirements, fees (if any), and any other product-specific conditions — are set forth in the License-Specific Terms presented to you in connection with your Order. The License-Specific Terms are incorporated into this EULA by reference and form part of your agreement with us. If there is any conflict between this EULA and the License-Specific Terms, the License-Specific Terms control with respect to the matters they address.

4. License Restrictions

You may not, and may not permit any third party to:

  • sell, rent, lease, lend, sublicense, distribute, or otherwise transfer the Software or your License;
  • copy, modify, adapt, translate, or create derivative works based on the Software, except as expressly permitted by this EULA or applicable law;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
  • remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on or in the Software;
  • circumvent, disable, or otherwise interfere with any License-enforcement, validation, authentication, or security mechanism of the Software or the Services; or
  • use the Software in a manner that exceeds the scope of the License granted in this EULA, the Terms, or the applicable License-Specific Terms.

5. Updates and Versioning

We may release updates, patches, and new versions of the Software from time to time. We are not obligated to provide updates indefinitely, and we may discontinue support for older versions or platforms at our discretion. Updates and new versions, when made available, are licensed under this EULA and the License-Specific Terms applicable to your License. Your use of the Software is subject to the entitlements set forth in your License-Specific Terms.

6. License Termination

This EULA and your License will continue until terminated. We may suspend or terminate your License immediately and without prior notice if you breach this EULA, the Terms, or the applicable License-Specific Terms, or if we reasonably believe that suspension or termination is necessary to protect the Services, our other users, or third parties. Your License will also terminate automatically on expiration of any time-limited term set forth in your License-Specific Terms.

On termination of your License, you must promptly cease all use of the Software and uninstall and delete any copies in your possession or control. The License Restrictions and any other provisions of this EULA that by their nature should survive termination will survive.

7. Intellectual Property

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Except for the License expressly granted in Section 3, this EULA does not grant you any right, title, or interest in or to the Software.

8. Export Controls

The Software may be subject to U.S. export-control laws and the export-control laws of other jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree not to use, export, re-export, or transfer the Software in violation of applicable export-control laws.

9. U.S. Federal Government End Users

If you are a U.S. federal government end user, the Software is a "Commercial Item" as that term is defined at 48 C.F.R. § 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," and is provided to U.S. government end users only as a Commercial Item and with only those rights granted to all other end users under this EULA.

10. Disclaimers, Liability, Indemnification, and Dispute Resolution

The disclaimers of warranty, limitations of liability, indemnification obligations, governing-law provisions, dispute-resolution and arbitration provisions (including the class-action waiver and 30-day arbitration opt-out), EU and UK consumer carve-outs, and general provisions set forth in the Terms apply to your use of the Software and to any dispute arising out of or relating to this EULA, and are incorporated into this EULA by reference. References in those provisions to the Terms or the Services will be read to include this EULA and the Software.

11. Changes to This EULA

We may modify this EULA from time to time. Notice of any change is given by posting the updated EULA with a new "Last updated" date at the top of this page. The updated EULA takes effect on the date posted, except where a later effective date is expressly stated. You are responsible for periodically reviewing this EULA. Your continued use of the Software after the updated EULA takes effect constitutes your acceptance of the changes. If you do not agree to the updated EULA, you must stop using the Software.
